Ambas partes, reconociéndose mutuamente la capacidad legal necesaria para el otorgamiento del presente contrato,Both parties, mutually recognizing their legal capacity necessary for the granting of this contract,

EXPONENSTATE

1. Que, , va a promover las obras de una Villa individual de un edificio sito en el número , de la calle de , cuyo edificio será dedicado a vivienda, habiendo decidido encomendar al nombrado Arquitecto la redacción del proyecto, y la dirección y liquidación de las obras correspondientes.

That ,will promote the works of an individual Villa with regards to the building located at in , whose building will be designated for housing having decided to entrust to the Architect with the drafting of the project and the direction and payment of the corresponding fees and works.

2. Que encontrándose dicho Arquitecto en disposición de aceptar el encargo referido, ambas partes lo formalizan, con arreglo a las siguientes: The Architect being able to accept the referred order of works, both parties formalize this contract, in accordance to the following:

CLAÚSULASCLAUSES

Primera. El Cliente, encarga al Arquitecto, que acepta el encargo, la realización del trabajo profesional descrito anteriormente. Dicho trabajo se desarrollará en las siguientes fases: Estudios Previos, Anteproyecto, Proyecto Básico, Proyecto de Ejecución, Dirección y Liquidación de Obra.

First. Client , instructs the Architect, who accepts the assignment, the execution of the professional works described above. Said works will be done in the following phases: Preliminary Studies, Preliminary Project, Basic Project, Execution of the Project, Project Management and Delivery of the project.

Segunda. Para la entrega de las Fases del trabajo encargado, el Arquitecto dispondrá de un plazo de 5 meses más el tiempo de construcción, computados desde el momento en que se haya hecho entrega al Arquitecto de todos los antecedentes necesarios para el desarrollo de dicho trabajo, y que se detallan en Anexo 1 a este contrato. Dicho plazo se interrumpirá por causas debidamente justificadas y ajenas a la voluntad de las partes.

Second. For the delivery of the phases of the work entrusted, the Architect will have a time period of 5 months plus the construction time calculated from the moment the Architect has been given all the necessary information for the development of said works, and that are detailed in Annex 1 to this contract. This period may be interrupted due to justifiable reasons and/or beyond the control of the parties.

Tercera. Los honorarios convenidos por este encargo serán de 7 % del costo de construcción según Anexo 2 y ascienden a la cantidad de euros, más I.V.A. o impuesto equivalente.

Third. The fees agreed for this assignment of these works will be 7% of the construction costs demonstrated in Annex 2 totalling the sum of Euros, plus I.V.A. or equivalent tax.

3.1. Dicha cantidad se hará efectiva, coincidiendo con las fases contratadas, en la siguiente forma: This amount will be paid, coinciding with the contracted phases, in the following manner:

a) A la entrega de los Estudios Previos, € 5.000 Upon delivery of the Preliminary Studies: € 5.000

b) A la entrega del Anteproyecto, € 10.000 Upon delivery of the Preliminary Project: € 10.000

c) A la entrega del Proyecto Básico, el 40 % (incluye los € 15.000 anteriores) Upon delivery of the Basic Project: 40% (inc. € 15.000 above)

d) A la entrega del Proyecto de Ejecución, el 30 % Upon delivery of the Execution Project: 30%

e) Dirección de obra el 30% Field Direction 30%

Cuando se haya efectuado el pago de cada Fase el Arquitecto pondrá a disposición del promotor un ejemplares del expediente, visado cuando proceda. Si deseara obtener otras copias del proyecto, o cualquiera otra documentación suplementaria, serán de su cuenta los gastos necesarios para la obtención de las mismas.

When the payment of each Phase has been made the Architect will make available to the Client copies of the file, endorsed where appropriate. If other copies of the project, or any other supplementary documentation are required, these expenses and costs for obtaining these documents will be at the cost of the Client. Durante la ejecución de las obras, en concepto de Project Management, se abonará un 2 % adicional. Dicho importe se abonará coincidiendo con las certificaciones de obra (30% de los honorarios), si se expidiesen, o bien el equivalente según la evaluación que efectuará el Arquitecto.

During the execution of the works, the Project Manager will be paid an additional 2%. This amount will be paid in conjunction with the certifications of works (30% of the fees) if they were issued, or the equivalent according to the evaluation that the Architect will carry out.

Los honorarios se liquidarán y abonarán, en lo que reste, al final de la obra. El abono de esta cantidad se hará coincidir con la expedición del Certificado Final de Obra, en cuyo momento se entregará dicho Certificado.

The remainder of the fees will be settled and paid at completion of the work. The payment of this amount will coincide with the issuance of the Final Work Certificate, at which time the Certificate will be delivered.

El cliente se compromete a firmar el contrato obligatorio con el Arquitecto Técnico, designado por el Arquitecto, y a abonarle a este los honorarios correspondientes estimados en un 3% del costo de la obra.The Client agrees to sign an obligatory contract (within 30 days of this contract) with the Technical Architect, designated by the Architect. The established fees are 3% of the construction costs of the project.

Se deja constancia que el total de honorarios es del 12% del costo de la obra (7% Arquitecto, 2% Project Management y 3 % Arquitecto Técnico).

As a consequence the total architectural and project management professional fees are 12% of the total construction costs (7% for Architect, 2% for Project Management and 3% for the Technical Architect).

3.2. En este acto, y en concepto de provisión de fondos, el promotor entregará al Arquitecto la suma de 5.000 euros, cantidad que será computada al efectuarse la liquidación final a que se refiere el apartado anterior. On the signing of this document and in concept of provision of funds, the Client will pay to the Architect the sum of 5.000 Euros. This amount will be deducted from the final settlement referred to in the previous section.

3.3. Las modificaciones que durante el desarrollo del encargo puedan producirse, y en consecuencia los honorarios a devengar por tal motivo deberán aceptarse expresamente por ambas partes. The fees for any modifications that may occur during the development of the works must be expressly accepted by both parties in writing beforehand.

3.4. Cuando el Arquitecto, para la ejecución del trabajo encomendado, tuviera que desplazarse fuera del municipio en que se encuentra su domicilio profesional, la promoción deberá abonarle los gastos de desplazamiento. When the Architect, for the execution of the work entrusted, has to move outside the municipality where his professional address is located; the promotion must pay him for travel expenses at the standard rate.

Cuarta. Todos los pagos deberán efectuarse en Euros, mediante transferencia bancaria.Fourth. All payments shall be made in Euros by bank transfer.

Quinta. Los pagos a que se refieren las cláusulas anteriores habrán de hacerse efectivos dentro de los 10 días siguientes al momento que para cada caso se establece. Transcurrido dicho plazo sin haberse efectuado, el importe de la cantidad insatisfecha devengará, sin necesidad de requerimiento previo, el interés legal del dinero incrementado en 10%.Fifth. The payments referred to in the previous clauses shall be effectively made within 10 days following the time for each established case. After this period has elapsed without having paid, the unpaid amount of the unsatisfied payment will incur, without the need of prior notice, the legal interest rate of the money will be increased by 10%.

Sexta. El promotor se obliga expresamente a no dar comienzo a las obras sin haber obtenido la pertinente licencia y con previo conocimiento y la conformidad expresa del Arquitecto. El Arquitecto se obliga a cumplimentar cuantos requerimientos municipales sean de su competencia y la hubieran sido notificados para llevar a buen fin el trabajo encomendado.Sixth. The promoter expressly undertakes not to start the works without having obtained the relevant license and with prior knowledge and express agreement of the Architect. The Architect agrees to comply with all municipal requirements within his competence and has been notified to carry out said works.

Séptima. El Arquitecto podrá resolver el contrato en cualquiera de los siguientes casos:Seventh. The Architect may terminate the contract in any of the following cases:

a) Retraso de 30 días en el abono de los honorarios devengados y/o su I.V.A., computados desde el primer requerimiento de pago. Delay of 30 days in the payment of the accrued fees and / or their IVA, calculated from the first payment request.

b) Si las obras no se iniciaran o una vez iniciadas permanecieran paralizadas durante un plazo de 120 días, computado desde la fecha de realización del proyecto o notificación de paralización por el Ayuntamiento respectivamente. If the works are not started, or once initiated, they remain inactive for a period of 120 days calculated from the date of completion of the project or notification of suspension by the respective City Council.

c) Incumplimiento de las órdenes del Arquitecto en la Dirección de Obra notificado al cliente. Failure to comply with the orders of the Architect in the Construction of the project notified to the client.

d) Incumplimiento por el promotor de cualquiera de las obligaciones asumidas en este contrato. Failure by the promoter of any of the obligations assumed in this contract.

En cualquier caso, el Arquitecto tendrá derecho a percibir los honorarios devengados hasta el momento de la resolución, así como el importe de la indemnización pactada de mutuo acuerdo, consistente en el 50 % de los honorarios correspondientes a la parte del trabajo encargado y que con causa en la resolución no se llevara a cabo.In any case, the Architect shall be entitled to receive the fees accrued up to the moment of the resolution, as well as the amount of the compensation agreed upon by mutual agreement, consisting of 50% of the fees corresponding to the part of the work entrusted and which will not be carried out in the resolution.

Por su parte el promotor podrá resolver el contrato en cualquiera de los siguientes casos:On his part, the promoter may terminate the contract in any of the following cases:

a) Si el Arquitecto no cumplimentara en tiempo y forma los requerimientos administrativos que le hubieran sido notificados. If the Architect does not complete within reasonable time the administrative requirements that have been assigned to him.

b) Incumplimiento por el propio Arquitecto de las obligaciones asumidas en este contrato. Failure by the Architect to comply with the obligations assumed in this contract.

Octava. En el supuesto de resolución unilateral de contrato por la Promoción, o si ésta hiciera imposible su cumplimiento por el Arquitecto, vendrá obligada a abonar a éste la totalidad de los honorarios devengados hasta el momento de la resolución, y además el 30 % de los demás honorarios dejados de percibir para el caso de no encontrarse totalmente ejecutado el encargo.

Eighth. In the event of a unilateral resolution of the contract for the Promotion, or if it is impossible its compliance by the Architect, he will be obliged to pay to the latter all the fees accrued up to the moment of the resolution, plus the 30% of the other fees not collected in case the order is not fully executed.

Novena. Salvo autorización escrita del Arquitecto, el proyecto por él redactado, o partes del mismo, no podrán ser utilizado más que para la construcción del edificio a que el presente contrato se refiere, únicos derechos inherentes a la propiedad intelectual del Arquitecto que deben entenderse cedidos en virtud del presente contrato.

Ninth. Without written authorization from the Architect, the project drafted, or any part by done him, may not be used for the construction of any building to which this contract does not refer. These rights are inherent to the intellectual property of the Architect and must comply as assigned under this contract.

Décima. En el cumplimiento de su prestación, el Arquitecto se atendrá a lo dispuesto en la normativa de ordenación urbanística aplicable por razón del emplazamiento del solar y en las Normas Básicas de la Edificación y demás disposiciones técnicas de obligado cumplimiento, observando los preceptos de la legislación reguladora de su ejercicio profesional.

Tenth. In compliance with specific performance, the Architect shall comply with the provisions of the urban planning regulations applicable to the location of the site and the Basic Building Regulations and other technical provisions of mandatory compliance, observing the precepts of the legislation regulating their professional practice.

Undécima. Con renuncia a cualquier otro fuero que pudiera corresponderles, las partes se someten a los Tribunales de la Provincia de Málaga, para resolver cualesquiera diferencias que pudieran surgir en la interpretación o ejecución del presente contrato.

Eleventh. Waiver of any other jurisdiction that may correspond, the parties submit to the Courts of Malaga Province, Spain to resolve any differences that may arise in the interpretation or execution of this contract.

Conformes, firman el presente contrato, que se extiende por duplicado y a un sólo efecto, en el lugar y fecha al comienzo indicados.Conforming, they sign the present contract, which is in duplicate and to a single effect, at the place and date indicated at the beginning.

ANNEX 1

1. MOVIMIENTO DE TIERRAS Y CIMENTACIÓNExcavación por medios mecánicos en terreno de tipo hasta las cotas prescritas en planos estructurales.Excavación de zanjas según planos para tendido de saneamiento con las pendientes prescritas y conducción exterior hasta conexión con red municipal, con las arquetas y registros indicados.Cimentación a base de losa armada de hormigón armado sobre hormigón de limpieza o solución técnica recomendada en estudio Geotécnico.Muros de hormigón armado para contención de tierras en muros de sótano y cerramiento de parcela.

2. ESTRUCTURAHormigón armado, acorde a las características de la Norma EHE. Control de ejecución mediante tomas de muestras y ensayos por laboratorio homologado, nivel de control Normal.Estructura de hormigón armado, mediante muros portantes de hormigón armado y forjados reticulares de hormigón armado, con sistema de encofrado SISMO y elementos que se expresan en planos de estructura, con las dimensiones y disposición de atado y colocación que se especifican.

3. AISLAMIENTOAislamiento térmico, según espesores de cálculos de CTE.Aislamiento térmico y acústico en forjados mediante bovedillas de poliestireno expandido (EPS). Aislamiento térmico y acústico en paredes exteriores mediante la utilización de paneles SISMO de espesores 4cm poliestireno expandido+12cm hormigón armado+4cm poliestireno expandido.Calificación Energética en fase de proyecto B.

4. ALBAÑILERÍAFachadas con muro de hormigón armado vertido in situ sobre paneles de encofrado SISMO con aislamiento térmico y acústico de poliestireno expandido. Enfoscados en fachadas exteriores con mortero de cemento maestreado y pintado con pintura plástica.Tabiquería interior de fábrica de ladrillo hueco doble. Opción sobre tabiquería de pladur.Guarnecido y enlucido con PERLITA en interiores y pintado con pintura plástica lisa.Plancha lisa de escayola en techos.Opción de falso techo de escayola continuos con molduras perimetrales para iluminación oculta y ubicación de rejillas para la impulsión y extracción del sistema de climatización.Techos registrables en cuartos de baños, donde se ubiquen las máquinas climatización de frío-calor.Altura libre: 2,60m en zonas nobles, y en pasillos, cuartos de baños 2,30m.Todas las divisiones se ejecutarán como mínimo conforme a las normas incluidas en el Código Técnico de Edificación especialmente a lo relativo a las condiciones acústicas y térmicas de la vivienda.

5. CUBIERTAS Y TERRAZASTerrazas impermeabilizadas con lámina asfáltica, aislamiento térmico si está sobre espacio habitable y terminadas con pavimento cerámico transitable.Cubierta plana no transitable impermeabilizada con lámina asfáltica y aislamiento térmico.

6. SOLERÍA Y ALICATADOSSALÓN/COCINA/DORMITORIOS: Gres porcelánico gran formato marca ROCA modelo DOWNTOWN, de gran formato 80cm x 80cm , incluso rodapié de 12cm.

TERRAZAS: Gres porcelánico ANTISLIP gran formato marca ROCA DOWNTOWN, de 80cm x 80cm.

BAÑOS: Porcelánico de primera calidad marca ROCA modelo CHELSEA de 30cm x 90cm. Disponible en tres colores: blanco, gris y arena.

ANEXO 2 MEMORIA INFORMATIVA DE CALIDADES

7. SANITARIOS Y GRIFERÍAInodoro y bidet de porcelana vitrificada, color blanco, suspendidos en pared y tapa con caída amortiguada, marca ROCA, modelo INSPIRA ROUND.

Lavabos sobre encimera de primera calidad marca ROCA modelo DIVERTA colocados sobre mueble modelo HEIMA.

8. COCINA

MUEBLES DE COCINA: Bisagras de clip, inoxidables y de gran resistencia. Permiten la apertura a +/- 110 grados. Dispone de cierre automático en el último recorrido y regulación tridimensional (ancho, alto, fondo). Algunos elementos por sus características propias van dotados de bisagras de 180 grados o especiales. Todas las bisagras están dotadas con cierre “SOFT CLOSE” incorporado en la misma bisagra. Este mecanismo permite la activación o desactivación de dicho mecanismo dependiendo del peso de las puertas y de las necesidades de cada usuario.Colgadores fabricados con acero de alta resistencia, colocados mediante mechones metálicos de anclaje y tornillos presujección. Permiten regulación en anchura, fondo y alto, acoplándose sobre placa metálica previamente fijada a la pared, permitiéndose regulación desde el interior del mueble y siendo oculto detrás de la trasera.Tope amortiguador colocado de serie para el correcto alineamiento de puertas y cajones y para absorber posibles ruidos causados por el impulso de la puerta en la operación de cerrado.

Soporte oculto, todos los estantes interiores están provistos de soportes ocultos, ofreciendo una alta resistencia a cargas elevadas y una estética apurada.Zócalo/patas suministradas para colocar en la parte inferior del mueble mediante tornillos de sujección premarcados en la base, con apoyo en fondo y lateral. Pieza de apoyo al suelo con tuerca regulable para zócalo de 8, 10, 12, 15cm, alto y pinzas de sujección zócalo para incorporar a la pata y colocar el zócalo mediante presión. Zócalo disponible en diversos acabados.Cajones de acero con extracción total con lateral de 83mm en acero gris (opcionalmente se puede incorporar cajones serie legrabox en acabados blancos/orion/antracita/inox). Su carga dinámica es de 30kg hasta un largo nominal de 500mm y su regulación bidimensional (ancho y alto) permite una perfecta alineación del frente.
