a laminated effect and features rusty flames. Thanks to its intentionally

constant research and the most advanced manufacturing technology. It

consists of porcelain stoneware slabs with much larger dimensions than

standard, ranging from 300 x 150 cm to 75 x 37,5 , 6 mm thick. Great

Metals offer enormous potential for use.

From architecture to interior design, the slabs can be applied on both

floors and walls, as a furnishing element, for designing sets, covering

modern worktops or can even be used as an actual decoration.

The aforementioned assignments of security are limited in amount to the amount invoiced by us for the resold or processed goods. We accept the assignments. The customer

remains entitled to collect the claim, but we reserve the right to collect the claims ourselves as soon as the customer defaults on payment. We undertake to release claims

assigned as security at the customer’s request to the extent that their realisable value exceeds the claim to be secured by more than 10 %.

11. Warranty for Defects, Statute of Limitations

For 2nd or 3rd choice goods (i.e. colour differences, quality deviations in material and quality), which are marked as such, all warranty claims for defects are excluded, as they

are not defects.

The same applies to defects and damages which can be attributed to operational and age-related wear and tear and normal wear and tear, improper use, operating errors, fire,

lightning, moisture or other processing errors.

Products of the brand Porcelaingres are produced following the patterns and colours of natural materials. Variants in patterns and nuances of the colouring are therefore special

quality features and do not represent a defect.

The customer’s rights in the event of material defects presuppose that, in the case of a commercial transaction, the customer must inspect the goods immediately after delivery,

insofar as this is feasible in the ordinary course of business, and if a defect becomes apparent, and must notify us without delay. If the customer fails to notify us, the goods

shall be deemed approved except in the case of a defect that could not be detected during the inspection. If such a defect is discovered at a later stage, the notification must be

made immediately after discovery, otherwise the goods shall also be deemed to have been accepted as free from defects in spite of this defect. Timely issuance of notification

is sufficient to preserve the rights of the customer.

The provisions of the above paragraph shall not apply if the defect was fraudulently concealed by us.

In all other respects, the statutory warranty regulations apply to the sale and delivery of wall and floor tiles.

The statutory periods for the sale and delivery of wall and floor tiles shall apply to the limitation period for claims based on defects. The limitation period begins with the delivery

of the goods to the customer.

12. Arbitration and Disputes Over Material Defects

If no agreement can be reached between the parties in the event of disputes regarding alleged defects in our goods, regarding their existence or their removal, or regarding the

reduced value of delivered goods (including disputes about payment of the full purchase price in the case of defects, with the exception of the reminder proceedings initiated

by us for incomplete or late payment of the purchase price), the dispute shall be settled by a publicly appointed and sworn expert acting as an arbitrator. If the parties cannot

agree on a certain expert within 2 weeks after being requested by one party, a publicly appointed and sworn expert shall be appointed by the Cottbus Chamber of Commerce

and Industry, which shall be binding for both parties. The party subject to the expert’s findings bears the costs incurred by the expert; in the case of partial victory, the costs are

distributed between the parties in proportion to the respective victory and defeat. The expert’s findings are binding for the parties with regard to the question of the existence or

non-existence of the defects. The evaluation and a judicial review in accordance with paras. 317, 319 BGB is only permissible on the grounds of obvious inaccuracies.

However, an arbitral award shall not be obtained if the economic damage is lower than the expected costs of the arbitral proceedings.

13. General Limitation of Liability

We shall not be liable for negligent breaches of contractual obligations, unless these are essential contractual obligations. The exclusion or limitation of liability shall not apply

to damages resulting from injury to life, body or health resulting from a negligent breach of duty on our part or from an intentional or negligent breach of duty by a legal

representative or vicarious agent of ours. The exclusion or limitation of liability shall also not apply to other damages which are based on a grossly negligent breach of duty on

our part or on an intentional or grossly negligent breach of duty by a legal representative or vicarious agent of ours.

14. Arbitration Agreement

With the exception of disputes which concern our claim to timely and complete payment of the purchase price, without these being cases of defects or reminder proceedings

initiated by us due to incomplete or late payment of the purchase price, and disputes relating to defects - all of which shall remain under the state jurisdiction, all disputes arising

from the contracts concluded with the customer, including disputes about their validity, with the exception of the cases mentioned in art. 12, shall be settled in accordance

with the Arbitration Rules of the German Institution of Arbitration (DIS) to the exclusion of due process of law and application of the substantive law of the Federal Republic

of Germany. The arbitral tribunal shall consist of 3 arbitrators. The place of arbitration shall be Cottbus. The language of the proceedings shall be German. The arbitral tribunal

will also make a decision on costs.

15. Copyright

The copyrights belong to Porcelaingres GmbH, Vetschau (Germany), and Porcelaingres GmbH, Vetschau (Germany) thus reserves all rights. Text, pictures, graphics, sound,

animation and videos as well as their arrangement on the materials and websites used by Porcelaingres are protected by copyright and other intellectual property laws. The

content of the materials used by Porcelaingres as well as the website of Porcelaingres may not be copied, distributed, changed or made accessible to third parties for commercial

purposes. We also point out that the pictures used by Porcelaingres in the materials and on the websites of Porcelaingres are partly subject to the copyright of third parties. The

General Conditions of Sale and the website of Porcelaingres do not grant a license to use the intellectual property of Porcelaingres or of third parties.

16. Place of Jurisdiction

For merchant-customers, the place of jurisdiction shall be the relevant court for the registered office of the company in Vetschau.

Orders and deliveries are subject to the law of the Federal Republic of Germany. The application of the International Sales Law is excluded. The place of performance shall be

Vetschau, at our discretion.

17. Severability

If any provision of the contract with the Client, including these General Conditions of Sale, should be totally or partly ineffective or should become so, this will not affect the

validity of the remaining provisions. The wholly or partially invalid provision is to be replaced by whatever provision comes closest to the business purpose of the invalid provision.

General Termsof Sale

1. General Provisions; Scope

The following General Conditions of Sale (GCS) are only valid for deliveries and services of Porcelaingres GmbH, Vetschau (Germany) and for entrepreneurs as customers.

The following GCS apply to all deliveries from Porcelaingres GmbH, Vetschau (Germany) within Germany and also to orders from abroad.

The offers of Porcelaingres GmbH, Vetschau (Germany) are without engagement and non-binding, unless we have expressly indicated that an offer is binding. Our General Terms

of Sale are also binding if the contractual partner refers in his order to his own general terms and conditions which contradict ours. Any terms and conditions of the other party

that conflict with or deviate from our General Terms of Sale shall not be recognised and shall not form an integral part of the contract.

Commercial agents who broker orders for us are also not entitled to agree to general terms and conditions or other contractual rules that deviate from the following GCS.

2. Order, Order Confirmation, Contract

A contract is concluded by the customer’s order (offer) and our order confirmation (acceptance). We can accept an order within 2 weeks after receipt. Offers on our part which

precede an order by the customer are always non-binding. An order confirmation by us that is different from the original order constitutes a new offer. This offer is deemed to

be accepted if the customer - in the case of a merchant - remains silent and does not object to the commercial letter of confirmation.

3. Transfer of Risk

Our deliveries for orders are generally ex works. Deviating agreements must be agreed individually and in writing. If the goods are dispatched to the contracting party at the

request of the contracting party, the risk of accidental loss or accidental deterioration of the goods shall pass to the contracting party upon dispatch to the contracting party,

at the latest upon leaving the warehouse. This applies regardless of whether the goods are shipped from the place of delivery and regardless of who pays the shipping costs.

4. Disposal of Packaging

The regulations of the Packaging Ordinance apply to the disposal of packaging, with the exception of pallets. The Customer is obliged to arrange for disposal of the packaging

at his own expense.

5. Delivery Dates, Liability in Case of Delay, Force Majeure

If the customer defaults in acceptance or culpably violates other ancillary obligations, we are entitled to demand compensation for the damage and additional expenses

incurred by us. The right to make further claims is reserved. Delivery dates stated by us are generally not binding, unless otherwise agreed. No liability is assumed for the

duration of transport by a forwarding agent or parcel service appointed by us. In the case of delivery periods promised as binding, they only begin with the dispatch of the order

confirmation, provided that any required or agreed advance payments or actions of the contractual partner have been fulfilled in good time and in a proper manner. We shall

only be in default after a reasonable grace period has been set in writing. We are not responsible for delays in delivery and performance due to force majeure or other events

which make delivery more difficult or impossible for us, e.g. strikes, lockouts, fire, water damage, trade embargo, catastrophes and other cases of force majeure, even in the

case of bindingly agreed delivery dates. The contractual partner can withdraw from the contract for this reason. If immediate delivery has been agreed, the customer can expect

the goods to be dispatched no earlier than 3 days from the receipt of the order confirmation, provided that the goods are available in stock. Subsequent changes to the contract

shall lead to an appropriate extension of the delivery period, if this has been bindingly agreed.

6. Payment, Default of Payment

Place of payment is Vetschau/Spreewald. Our prices are ex works, unless otherwise stated in the order confirmation. Value added tax is not included in our prices. It is shown

separately in the invoice in the statutory amount. All discounts require separate written agreement. Unless otherwise stated in the order confirmation, the purchase price is

due for payment without deduction within 10 days of the receipt of invoice. The statutory provisions on default of payment shall apply. If the contractual partner defaults on

payment, we shall be entitled to charge default interest at the statutory rate, subject to proof of higher damages. Furthermore, we reserve the right to withhold the deliveries in

progress and executed those only after complete payment and advance payment has been made.

7. Maintenance and Cleaning of Porcelain Stoneware Tiles

With regard to the maintenance and cleaning of tiles with natural, structured and polished surfaces, the instructions for first cleaning after installation and the instructions for

regular maintenance cleaning are binding and are sent to the customer on first order and can be found on our website. The manufacturer’s instructions for the cleaning agent

used must be observed.

8. Laying of Porcelain Stoneware Tiles

The installation instructions for porcelain stoneware tiles are binding and are sent to the customer on first order and can be found on our website.

Professional installation is indispensable if an optimum final result is to be achieved. Our porcelain stoneware tiles can be glued or laid with mortar cement. The selection of the

suitable adhesive agent or mortar and its application are based on the manufacturer’s specifications and must be observed.

9. Compensation

The customer’s counterclaims can be satisfied only when these are legally grounded, undisputed or acknowledged by us.

10. Reservation of Ownership, Assignment by Way of Security

We reserve title to the delivered goods until all claims from the current business relationship have been settled in full.

The customer is obliged to inform us, immediately and in writing, in the event of seizures, insolvency application, or other similar interventions by third parties. The customer is

entitled to resell the goods in the ordinary course of its business. However, he hereby assigns to us as security all claims against third parties arising from the resale in its favour.

Processing of the goods by the customer is always to be undertaken on our behalf. If the goods are combined with a piece of land, the customer hereby assigns to us as security

all claims against third parties arising from the combination of the goods with a piece of land in its favour.

verbunden, tritt der Kunde bereits jetzt alle Forderungen gegen Dritte, die durch die Verbindung der Ware mit einem Grundstück zu seinen Gunsten entstehen, als Sicherheit

an uns ab.

Die vorgenannte Sicherungsabtretungen sind der Höhe nach auf den von uns für die weiterverkaufte oder verarbeitete Ware in Rechnung gestellten Betrag begrenzt. Wir

nehmen die Abtretungen an. Der Kunde bleibt zur Einziehung der Forderung berechtigt, wir behalten uns aber vor, die Forderungen selbst einzuziehen, sobald der Kunde

in Zahlungsverzug gerät. Wir verpflichten uns, zur Sicherheit abgetretene Forderungen auf Verlangen des Kunden insoweit freizugeben, als deren realisierbarer Wert die zu

sichernde Forderung um mehr als 10 % übersteigt.

11. Mängelgewährleistung, Verjährung

Für Ware 2. oder 3. Wahl (d.h. Farbunterschiede, Qualität Abweichungen im Material und in der Beschaffenheit), die als solche gekennzeichnet sind, sind sämtliche

Mängelgewährleistungsansprüche ausgeschlossen, da es sich nicht um Mängel handelt.

Auch handelt es sich nicht um Mängel bei Schäden, die zurückzuführen sind auf die betriebs-und altersbedingte Abnutzung und den normalen Verschleiß, unsachgemäßen

Gebrauch, Bedienungsfehler, Brand, Blitzschlag, Feuchtigkeit oder sonstige Verarbeitungsfehler.

Produkte der Marke Porcelaingres sind in Mustern und Farbgebung natürlichen Materialien nachgebildet. Varianten in Mustern und Nuancen der Farbgebung sind deshalb

besondere Qualitätsmerkmale und stellen keinen Mangel dar.

Rechte des Kunden bei Sachmängeln setzen voraus, dass der Kunde für den Fall, dass es sich um ein Handelsgeschäft handelt, die Ware unverzüglich nach Ablieferung, soweit

dies nach ordnungsgemäßem Geschäftsgang tunlich ist, zu untersuchen hat und, wenn sich ein Mangel zeigt, und diesen unverzüglich anzuzeigen hat. Unterlässt der Kunde

die Anzeige, so gilt die Ware als genehmigt, es sei denn, dass sich um ein Mangel handelt, der bei der Untersuchung nicht erkennbar war. Zeigt sich später ein solcher Mangel,

so muss die Anzeige unverzüglich nach der Entdeckung gemacht werden, anderenfalls gilt die Ware auch in Ansehung dieses Mangels als genehmigt. Zur Erhaltung der Rechte

des Kunden genügt die rechtzeitige Absendung der Anzeige.

Die im vorgenannten Absatz getroffenen Vorschriften gelten nicht, wenn der Mangel arglistig durch uns verschwiegen wurde.

Im Übrigen gelten die gesetzlichen Gewährleistungsregelungen für den Verkauf und die Lieferung von Wand-und Bodenfliesen.

Für die Verjährung der Mängelansprüche gelten die gesetzlichen Fristen für den Verkauf und die Lieferung von Wand-und Bodenfliesen. Die Verjährung beginnt mit der

Ablieferung der Ware beim Kunden.

12. Schiedsgutachten bei Streitigkeiten über Sachmängel

Kann bei Meinungsverschiedenheiten über die Mängelfreiheit unserer Ware, über deren Bestehen oder deren Beseitigung oder den Minderwert gelieferter Ware (einschließlich

der Streitigkeiten über die Zahlung des vollständigen Kaufpreises im Mangelfall mit Ausnahme der von uns eingeleiteten Mahnverfahren wegen nicht vollständiger oder nicht

rechtzeitiger Kaufpreiszahlung) zwischen den Parteien keine Einigung erzielt werden, entscheidet das Urteil eines öffentlich bestellten und vereidigten Sachverständigen als

Schiedsgutachter. Können sich die Parteien nicht innerhalb von 2 Wochen nach Aufforderung durch eine Partei auf einen bestimmten Sachverständigen einigen, wird ein

öffentlich bestellter und vereidigter Sachverständiger durch die Industrie-und Handelskammer Cottbus, der für beide Teile verbindlich ist, bestimmt. Der nach den Feststellungen

des Gutachters unterliegende Teil trägt die entstehenden Kosten des Gutachters, bei teilweisem Unterliegen bestimmt sich die Verteilung der Kosten nach Umfang des Obsiegens

und Unterliegens. Die Feststellungen des Sachverständigen sind für die Parteien hinsichtlich der Frage des Bestehens oder Nichtbestehens der Mängel und der Bewertung

verbindlich und einer gerichtlichen Überprüfung analog §§ 317, 319 BGB nur wegen offenbarer Unrichtigkeiten zulässig.

Ein Schiedsgutachten soll jedoch nicht eingeholt werden, soweit der wirtschaftliche Schaden niedriger ist, als die voraussichtlichen Kosten eines einzuholenden Schiedsgutachtens.

13. Allgemeine Haftungsbegrenzung

Wir haften nicht für fahrlässige Verletzungen von Vertragspflichten, soweit es sich hierbei nicht um wesentliche Vertragspflichten handelt. Der Haftungsausschluss bzw. die

Haftungsbegrenzung gilt nicht für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, die auf einer fahrlässigen Pflichtverletzung unsererseits oder

einer vorsätzlichen oder fahrlässigen Pflichtverletzung eines gesetzlichen Vertreters oder Erfüllungsgehilfen von uns beruhen. Der Ausschluss bzw. die Begrenzung der Haftung

gilt auch nicht für sonstige Schäden, die auf einer grob fahrlässigen Pflichtverletzung unsererseits oder auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung eines

gesetzlichen Vertreters oder Erfüllungsgehilfen von uns beruhen.

14. Schiedsvereinbarung

Mit Ausnahme von Streitigkeiten, welche unseren Anspruch auf rechtzeitige und vollständige Zahlung des Kaufpreises zum Gegenstand haben, ohne dass es sich um Mängelfälle

handelt und für von uns eingeleitete Mahnverfahren wegen unvollständiger oder nicht rechtzeitiger Kaufpreiszahlung - auch im Mangelfall- für die es somit bei der Zuständigkeit

der staatlichen Gerichtsbarkeit verbleiben soll, werden alle Streitigkeiten, die sich aus dem mit dem Kunden abgeschlossenen Verträgen-einschließlich der Streitigkeiten über

deren Gültigkeit-ergeben mit Ausnahme der in Punkt 12 genannten Fälle, nach der Schiedsordnung der Deutschen Institution für Schiedsgerichtsbarkeit e.V. (DIS) unter

Ausschluss des ordentlichen Rechtsweges und unter Anwendung des materiellen Rechts der Bundesrepublik Deutschland endgültig entschieden. Das Schiedsgericht besteht aus

3 Schiedsrichtern. Ort der Schiedsverhandlung ist Cottbus. Die Verfahrensprache ist Deutsch. Das Schiedsgericht wird auch eine Kostenentscheidung treffen.

15. Urheberrechte

Mit Copyrights von Porcelaingres GmbH, Vetschau (Deutschland) behält sich Porcelaingres GmbH, Vetschau (Deutschland) alle Rechte vor. Text, Bilder, Grafiken, Sound,

Animation und Videos sowie deren Anordnung auf den von Porcelaingres verwendeten Materialien und Websites unterliegen dem Schutz des Urheberrechts und anderer

Schutzgesetze. Der Inhalt der von Porcelaingres verwendeten Materialien sowie der Website von Porcelaingres darf nicht zu kommerziellen Zwecken kopiert, verbreitet, verändert

oder Dritten zugänglich gemacht werden. Wir weisen darauf hin, dass auch die von Porcelaingres in den Materialien verwendeten Bilder und auf den Websites von Porcelaingres

enthaltenen Bildern teilweise dem Urheberrecht Dritter unterliegen. Durch die Allgemeinen Verkaufsbedingungen und durch die Website von Porcelaingres wird keine Lizenz zur

16. Gerichtsstand

Für den Fall, dass es sich bei dem Kunden um einen Kaufmann handelt, ist Gerichtsstand das für den Sitz der Gesellschaft in Vetschau maßgebliche Gericht.

Bestellungen und Lieferungen unterliegen dem Recht der Bundesrepublik Deutschland. Die Anwendung des internationalen Kaufrechtsgesetzes ist ausgeschlossen. Erfüllungsort

ist nach unserer Wahl Vetschau.

17. Salvatorische Klausel

Sollten einzelne Bestimmungen des Vertrages mit dem Kunden einschließlich dieser AVB ganz oder teilweise unwirksam sein oder werden, so wird hierdurch die Gültigkeit

der übrigen Bestimmungen nicht berührt. Die ganze oder teilweise unwirksame Bestimmung soll durch eine Regelung ersetzt werden, deren wirtschaftlicher Erfolg dem der

unwirksamen möglichst nahe kommt.

Allgemeine Verkaufsbedingungen (AVB)

1. Allgemeines, Geltungsbereich

Die nachfolgenden AVB gelten nur für Lieferungen und Leistungen von Porcelaingres GmbH, Vetschau (Deutschland) und für Unternehmer als Kunden.

Die nachfolgenden AVB gelten für alle Lieferungen von Porcelaingres GmbH, Vetschau (Deutschland) innerhalb von Deutschland und auch für Bestellungen aus dem Ausland

bei uns.

Die Angebote von Porcelaingres GmbH, Vetschau (Deutschland) sind freibleibend und unverbindlich, sofern wir sie nicht ausdrücklich als verbindlich bezeichnet haben. Unsere

Allgemeinen Geschäftsbedingungen sind auch dann verbindlich, wenn der Vertragspartner in seiner Bestellung auf eigene allgemeine Geschäftsbedingungen, die unseren

widersprechen, verweist. Entgegenstehende oder von unseren Allgemeinen Geschäftsbedingungen abweichende Bedingungen des anderen werden nicht anerkannt und auch

nicht Vertragsbestandteil.

Auch Handelsvertreter, die Aufträge für uns vermitteln, sind nicht berechtigt, von den nachfolgenden AVB abweichende Allgemeine Geschäftsbedingungen oder andere

abweichende vertraglichen Regelungen zu vereinbaren.

2. Bestellung, Auftragsbestätigung, Vertrag

Ein Vertrag kommt durch Bestellung des Kunden (Angebot) und Auftragsbestätigung durch uns (Annahme) zu Stande. Wir können eine Bestellung innerhalb von 2 Wochen

nach Eingang bei uns annehmen. Angebote unsererseits, die einer Bestellung durch den Kunden vorangehen, sind stets frei bleibend. Einer von der Bestellung abweichende

Auftragsbestätigung durch uns ist ein neues Angebot. Dieses Angebot gilt als angenommen, wenn der Kunde - im Falle eines Kaufmanns - auf das kaufmännische

Bestätigungsschreiben schweigt.

3. Gefahrübergang

Unsere Lieferungen für Bestellungen erfolgen generell ab Werk. Abweichende Vereinbarungen müssen individuell und schriftlich vereinbart werden. Wird die Ware auf Wunsch

des Vertragspartners an diesen versendet, so geht mit der Absendung an den Vertragspartner, spätestens mit Verlassen des Lagers, die Gefahr des zufälligen Unterganges

oder der zufälligen Verschlechterung der Ware auf den Vertragspartner über. Dies gilt unabhängig davon, ob die Versendung der Ware vom Erfüllungsort erfolgt und wer die

Frachtkosten trägt.

4. Entsorgung von Verpackungen

Für die Entsorgung von Verpackungen gelten die Regelungen der Verpackungsverordnung, ausgenommen sind Paletten. Der Besteller ist verpflichtet, für eine Entsorgung der

Verpackung auf eigene Kosten zu sorgen.

5. Liefertermine, Haftung bei Verzug, höhere Gewalt

Kommt der Kunde in Annahmeverzug oder verletzt er schuldhaft sonstige Nebenpflichten, sind wir berechtigt, den uns entstehenden Schaden und Mehraufwendungen ersetzt

zu verlangen. Weitergehende Ansprüche bleiben vorbehalten. Von uns genannte Liefertermine sind grundsätzlich unverbindlich, es sei denn es ist etwas anderes vereinbart.

Für die Dauer des Transportes von einem von uns beauftragten Spediteur, Paketdienst wird keine Haftung übernommen. Bei als verbindlich zugesagten Lieferfristen beginnen

diese erst mit der Absendung der Auftragsbestätigung, sofern eventuell erforderliche oder vereinbarte Vorleistungen des Vertragspartners rechtzeitig oder ordnungsgemäß

erbracht worden sind. In Verzug geraten wir erst nach schriftlicher Setzung einer angemessenen Nachfrist. Lieferungs-und Leistungsverzögerungen aufgrund höherer Gewalt

oder aufgrund sonstiger Ereignisse, die uns die Lieferung erschweren oder unmöglich machen, z.B. Streik, Aussperrung, Feuer-, Wasserschäden, Handelsembargo, Katastrophen

und andere Fälle höherer Gewalt, auch bei Vorlieferanten, haben wir auch bei verbindlich vereinbarten Lieferterminen nicht zu vertreten. Der Vertragspartner kann aus diesem

Grunde zurücktreten. Soweit eine sofortige Lieferung vereinbart ist, kann der Kunde Versand nicht vor Ablauf von 3 Tagen nach Eingang der Auftragsbestätigung verlangen,

sofern die Ware verfügbar ist. Nachträgliche Änderungen des Vertrages führen zu einer angemessenen Verlängerung der Lieferfrist, wenn diese verbindlich vereinbart ist.

6. Zahlung, Zahlungsverzug

Zahlungsort ist Vetschau/Spreewald. Unsere Preise gelten ab Werk, sofern sich aus der Auftragsbestätigung nichts anderes ergibt. Mehrwertsteuer ist in unseren Preisen nicht

enthalten. Sie wird in gesetzlicher Höhe gesondert in der Rechnung ausgewiesen. Der Abzug von Skonto bedarf einer besonderen schriftlichen Vereinbarung. Sofern sich

aus der Auftragsbestätigung nichts anderes ergibt, ist der Kaufpreis ohne Abzug innerhalb von 10 Tagen ab Rechnungszugang zur Zahlung fällig. Es gelten die gesetzlichen

Bestimmungen über den Zahlungsverzug. Kommt der Vertragspartner in Zahlungsverzug sind wir berechtigt, Verzugszinsen in gesetzlicher Höhe zu berechnen, vorbehaltlich des

Nachweises eines höheren Schadens. Des Weiteren behalten wir uns vor, noch nicht ausgeführte Lieferungen erst nach vollständiger Leistung dieser Zahlung und Vorauszahlung

auszuführen.

7. Wartung und Reinigung von Feinsteinzeugfliesen

Bezüglich der Wartung und Reinigung von Fliesen mit Natur-, strukturierten-und polierten Oberflächen sind die Hinweise zur Erstreinigung nach Verlegung und die Hinweise

für die regelmäßige Unterhaltsreinigung verbindlich und werden dem Kunden bei Erstbestellung übersandt und befinden sich zum Nachlesen auf unserer Internetseite. Die

Herstellerangaben des jeweiligen verwendeten Reinigungsmittels sind zwingend zu beachten.

8. Verlegung von Feinsteinzeugfliesen

Bezüglich der Verlegung der Feinsteinzeugfliesen sind die Hinweise zur Verlegung verbindlich und werden dem Kunden bei Erstbestellung übersandt und befinden sich zum

Nachlesen auf unserer Internetseite.

Eine fachgerechte Verlegung ist unentbehrlich, wenn ein optimales Endergebnis erzielt werden soll. Unsere Feinsteinzeugfliesen können verklebt oder mit Mörtelzement verlegt

werden. Die Auswahl des geeigneten Klebers bzw. Mörtels sowie dessen Anwendung richten sich nach den Angaben der Herstellerfirma und sind zu beachten.

9. Aufrechnung

Der Kunde kann nur mit Gegenansprüchen aufrechnen, die rechtskräftig festgestellt, unbestritten oder von uns anerkannt sind.

10. Eigentumsvorbehalt, Sicherungsabtretung

Bis zur vollständigen Begleichung aller Forderungen aus der laufenden Geschäftsbeziehung behalten wir uns das Eigentum an der gelieferten Ware vor.

Der Kunde ist verpflichtet, uns bei Pfändungen oder Stellung von Insolvenzanträgen oder sonstigen Eingriffen Dritter unverzüglich schriftlich zu unterrichten. Der Kunde ist

Le suddette cessioni a titolo di garanzia sono limitate all’importo da noi fatturato per la merce rivenduta o lavorata. Accettiamo le cessioni. Il cliente mantiene la facoltà di

riscuotere il credito, ma ci riserviamo il diritto di riscuotere i crediti in prima persona non appena il cliente non adempie ai propri obblighi di pagamento. Su richiesta del cliente,

ci impegniamo a svincolare i crediti ceduti a titolo di garanzia nella misura in cui il loro valore di realizzo superi di oltre il 10 % il credito da garantire.

11. Garanzia per vizi, prescrizione

Per le merci di 2° o 3° scelta (cioè differenze di colore, differenze di qualità nei materiali e nelle proprietà), definite come tali, sono esclusi tutti i diritti di garanzia per vizi, in

quanto non si tratta di vizi.

Inoltre, non sono da considerarsi vizi i danni attribuibili al consumo da utilizzo o invecchiamento o alla normale usura, a uso improprio, a errori di funzionamento, a incendio,

fulmine, umidità o ad altri errori di lavorazione.

I prodotti del marchio Porcelaingres riproducono motivi e colori di materiali naturali. Le varianti nei motivi e nelle tonalità di colore sono quindi particolari caratteristiche di qualità

e non rappresentano un vizio.

I diritti del cliente in caso di vizi della cosa presuppongono che il cliente, nel caso di un’operazione commerciale, ispezioni la merce immediatamente dopo la consegna, nella

misura in cui ciò sia possibile nel corso del normale svolgimento dell’attività commerciale, e qualora un vizio sia evidente, ne dia immediata comunicazione. Qualora il cliente

non ne dia comunicazione, la merce si intende accettata, fatto salvo il caso in cui il vizio non sia riconoscibile all’ispezione. La comunicazione di un tale vizio che risulti evidente

successivamente, la comunicazione deve essere inviata immediatamente dopo la scoperta; altrimenti la merce è considerata consegnata priva di difetti anche in presenza di tale

vizio. Per preservare i diritti del cliente è sufficiente l’invio della comunicazione.

Le disposizioni riportate nel paragrafo precedente non si applicano se il difetto è stato da noi occultato in modo fraudolento.

Per tutti gli altri casi vale quanto stabilito dalla legge per la vendita e la fornitura di piastrelle per pavimenti e rivestimenti.

I termini di legge per la vendita e la fornitura di piastrelle per pavimenti e rivestimenti valgono anche per la prescrizione dei diritti per vizi della cosa. Il termine di prescrizione

decorre dalla consegna della merce al cliente.

12 Arbitrato in caso di controversie per vizi della cosa

Qualora, in caso di divergenze di opinione sull’assenza, sulla presenza o sull’eliminazione dei vizi della nostra merce, o sul minor valore della merce fornita (ivi incluse le

controversie sul pagamento dell’intero prezzo d’acquisto in caso di vizi ad eccezione dei procedimenti di ingiunzione da noi avviati per pagamento incompleto o tardivo del

prezzo d’acquisto) non sia possibile raggiungere un accordo tra le parti, vale il giudizio di un esperto giurato nominato pubblicamente in qualità di arbitro. Qualora, entro 2

settimane dalla richiesta di una delle parti non giungano a un accordo su un determinato perito, la Camera di Commercio e dell’Industria di Cottbus stabilisce un esperto giurato

nominato pubblicamente, vincolante per entrambe le parti. La parte soccombente a seguito delle conclusioni dell’esperto sostiene i costi di quest’ultimo; in caso di soccombenza

reciproca, i costi vengono ripartiti in proporzione. Le constatazioni dell’esperto in merito all’esistenza o meno dei vizi e alla valutazione sono vincolanti per le parti e soggette a

revisione giudiziaria ai sensi dei §§ 317, 319 del Codice Civile Federale solo in caso di palese inesattezza.

Tuttavia, l’arbitrato non è possibile se il danno economico è inferiore ai costi che ci si attende da tale arbitrato.

13. Limitazione generale di responsabilità

Non siamo responsabili per violazioni colpose di obblighi contrattuali, a meno che non si tratti di obblighi contrattuali sostanziali. L’esclusione o la limitazione di responsabilità non

si applica a danni cui conseguono lesioni alla vita, al corpo o alla salute, derivanti da una violazione per negligenza di obblighi da parte nostra o da una violazione intenzionale

o per negligenza di obblighi da parte di un nostro rappresentante legale o collaboratore. L’esclusione o la limitazione di responsabilità non si applica nemmeno ad altri danni

riconducibili a una violazione di obblighi per grave negligenza da parte nostra o a violazione di obblighi per grave negligenza o intenzionale da parte di un nostro rappresentante

legale o collaboratore.

14. Accordo arbitrale

Ad eccezione delle controversie che hanno come oggetto il nostro diritto al pagamento tempestivo e completo del prezzo d’acquisto, senza che si tratti di vizi e procedimenti di

ingiunzione da noi avviati a causa di incompleto o ritardato pagamento del prezzo d’acquisto - anche in caso di vizi - per i quali resta competente la giurisdizione statale, tutte le

controversie derivanti dai contratti conclusi con il cliente, comprese le controversie sulla loro validità, ad eccezione dei casi menzionati al punto 12, vengono risolte in conformità

con le norme di arbitrato dell’Istituto tedesco per l’arbitrato. (DIS) con esclusione del giusto processo e dell’applicazione del diritto sostanziale della Repubblica Federale di

Germania. Il tribunale arbitrale è composto da 3 arbitri. Sede dell’arbitrato è Cottbus. La lingua procedurale è il tedesco. Il tribunale arbitrale si pronuncerà anche sulle spese.

15. Diritti d’autore

Con i diritti d’autore di Porcelaingres GmbH, Vetschau (Germania) Porcelaingres GmbH, Vetschau (Germania) si riserva tutti i diritti. Testo, immagini, grafica, suono, animazione e

video, così come la loro disposizione sui materiali pubblicitari e siti web utilizzati da Porcelaingres sono protetti da copyright e altre leggi di protezione. Il contenuto dei materiali

pubblicitari utilizzati da Porcelaingres e il sito web di Porcelaingres non possono essere copiati, distribuiti, modificati o resi accessibili a terzi per scopi commerciali. Si precisa che

anche le immagini utilizzate da Porcelaingres nei materiali pubblicitari e nei siti web di Porcelaingres sono in parte soggette ai diritti d’autore di terzi. Le Condizioni Generali di

Vendita e il sito web di Porcelaingres non concedono alcuna licenza per l’utilizzo della proprietà intellettuale di Porcelaingres o di terzi.

16.2 Foro competente

Nel caso in cui il cliente sia un commerciante, il foro competente è il tribunale di Vetschau, competente per la sede della società.

Ordini e consegne sono soggetti alla legge della Repubblica Federale Tedesca. È esclusa l’applicazione della convenzione sulla vendita internazionale di beni. Il luogo di

adempimento è stabilito da noi a Vetschau.

17. Clausola salvatoria

Qualora una qualsiasi clausola del contratto con il cliente, compresi questi termini e condizioni, in tutto o in parte, dovessero essere o diventare non validi, ciò non pregiudica la

validità delle restanti disposizioni. La clausola totalmente o parzialmente inefficace è sostituita da una regola che il cui effetto economico si avvicini quanto più possibile all’effetto

economico della clausola divenuta inefficace.

1. Informazioni generali, ambito di applicazione

Le seguenti CGV valgono solo per forniture e prestazioni di Porcelaingres GmbH, Vetschau (Germania) e per le imprese clienti.

Le seguenti CGV si applicano a tutte le forniture di Porcelaingres GmbH, Vetschau (Germania) in Germania così come per gli ordini dall’estero.

Le offerte di Porcelaingres GmbH, Vetschau (Germania) sono senza impegno e non vincolanti per quanto da noi non espressamente indicate come vincolanti. Le nostre

Condizioni Generali sono vincolanti anche se il partner contrattuale nel proprio ordine fa riferimento alle proprie condizioni generali che sono in contrasto con le nostre. Le

condizioni dell’altra parte in conflitto o divergenti dalle nostre Condizioni Generali non vengono riconosciute e non costituiscono parte integrante del contratto.

I rappresentanti commerciali che mediano gli ordini per noi non sono autorizzati ad accettare Condizioni Generali o altre disposizioni contrattuali che si discostano dalle presenti

CGV.

2. Ordine, conferma d’ordine, contratto

Un contratto viene concluso a seguito dell’ordine del cliente (offerta) e della nostra conferma d’ordine (accettazione). Possiamo accettare un ordine entro 2 settimane dal

ricevimento. Le offerte da parte nostra che precedono l’ordine del cliente non sono mai vincolanti. Una nostra conferma d’ordine che si discosta dall’ordine è una nuova offerta.

Questa offerta si considera accettata se il cliente - nel caso sia un commerciante - non risponde alla lettera di conferma commerciale.

3. Trasferimento del rischio

Le nostre condizioni di consegna degli ordini sono generalmente franco fabbrica. Gli accordi diversi devono essere concordati caso per caso e per iscritto. Se la merce viene

spedita al contraente su sua richiesta, il rischio di perdita o di deterioramento accidentale della merce passa al contraente al momento della spedizione a quest’ultimo, al più

tardi nel momento in cui esce dal magazzino. Ciò vale a prescindere dal fatto che la spedizione della merce avvenga o meno dal luogo di esecuzione e a prescindere da chi

sostiene i costi di trasporto.

4. Smaltimento degli imballaggi

Per lo smaltimento degli imballaggi, ad eccezione dei pallet, valgono le disposizioni del decreto sugli imballaggi. Colui che effettua l’ordine è tenuto a smaltire l’imballaggio a

proprie spese.

5. Termini di consegna, responsabilità in caso di ritardo, forza maggiore.

In caso di inadempienza di accettazione o di violazione per colpa di altri obblighi accessori da parte del cliente, abbiamo la facoltà di richiedere il risarcimento dei danni e delle

maggiori spese conseguenti. Fatti salvi ulteriori diritti. I termini di consegna da noi indicati non sono mai vincolanti, salvo accordi diversi. Non si assume alcuna responsabilità

per la durata del trasporto da parte di uno spedizioniere o di un corriere da noi incaricato. I termini di consegna confermati come vincolanti decorrono non prima dell’invio della

conferma d’ordine a condizione il partner contrattuale abbia effettuato in tempo utile o regolarmente eventuali pagamenti anticipati richiesti o concordati. Il ritardo da parte

nostra si verifica solo a seguito di un ragionevole termine di differimento comunicato per iscritto. Non siamo responsabili per ritardi di consegna e di servizi, inclusi quelli per i

quali sono stati concordati termini vincolanti, dovuti a forza maggiore o ad altri eventi che rendono la consegna difficile o impossibile per noi, ad esempio scioperi, serrate, danni

causati da incendio o inondazione, embargo commerciale, catastrofi e altri casi di forza maggiore. Per questo motivo il partner contrattuale può recedere dal contratto. Qualora

sia stata concordata una consegna immediata e la merce sia disponibile, il cliente non può pretendere che la spedizione venga effettuata prima di 3 giorni dal ricevimento

della conferma d’ordine. Eventuali successive modifiche apportate al contratto comportano un adeguato differimento del termine di consegna, nel caso in cui questo sia stato

concordato in modo vincolante.

6. Pagamento, ritardo di pagamento

Il luogo di pagamento è Vetschau/Spreewald. I nostri prezzi si intendono franco fabbrica, se non diversamente indicato nella conferma d’ordine. L’imposta sul valore aggiunto

non è inclusa nei nostri prezzi. L’aliquota stabilita per legge è riportata separatamente nella fattura. L’applicazione di uno sconto è soggetta a un particolare accordo scritto. Se

non diversamente indicato nella conferma d’ordine, la scadenza di pagamento del prezzo d’acquisto è entro 10 giorni dal ricevimento della fattura. Si applicano le disposizioni

di legge in materia di ritardi nei pagamenti. In caso di ritardato pagamento da parte del partner contrattuale abbiamo la facoltà di addebitare interessi di mora al tasso legale,

livraison, dans la mesure où cela est possible dans le cours normal des affaires et si un défaut devient apparent et doit en informer ce dernier sans délai. Si le client ne nous

informe pas, la marchandise est réputée approuvée, à moins que le défaut n’ait pas été reconnu lors de l’inspection. Si un tel vice se révèle ultérieurement, la déclaration écrite

12 Avis d’arbitrage dans les litiges portant sur des défauts matériels

Si aucun accord ne peut être trouvé entre les parties en cas de litiges sur l’absence de défauts de nos marchandises, sur leur existence ou leur enlèvement ou sur la valeur réduite

des marchandises livrées (y compris les litiges sur le paiement du prix d’achat intégral en cas de défauts, à l’exception de la procédure de rappel que nous avons engagée pour

paiement incomplet ou tardif du prix d’achat), le jugement d’un expert désigné publiquement et assermenté en tant qu’arbitre décidera. Si les parties ne parviennent pas à

s’entendre sur un expert dans les 2 semaines suivant la demande d’une partie, un expert assermenté et nommé publiquement est nommé par la Chambre de commerce et
